The Board has learned from TRWA that our understanding of quorum for purposes of the Annual Members Meeting and Election was incorrect. As used in Texas Water Code §67.007 (a-1), quorum means a majority of the VOTES RECEIVED, whether by in person delivery, mail, or cast at the meeting. It is not based, as we were thinking, on a majority of the votes eligible to be cast. As was explained to us, if 3 votes are cast, that sets the quorum. It is a relief to us, and hopefully to the Members, that the matter was resolved and the election process will be completed Sunday. As everyone is aware, an election has not been held in a number of years. The nuances of legislative language were new to us. We apologize for the confusion and look forward to the results of the election.

The WSC Board of Directors heard your concerns about members and who is allowed to vote in WSC elections. We sought the advice of outside counsel. They reviewed our Bylaws, Elections Procedures and relevant statutes. Their advice was that limiting voting to those with active, metered accounts is consistent with our Bylaws, and that they are consistent with Texas Water Code §13.002(11).
We understand this is a significant issue. Because this involves our Bylaws, we cannot make immediate changes to address the matter. We have that ability with Procedures.
We promise you that the issue will be reviewed by the committee already working on reviewing and updating our Bylaws. We want everyone affected by WSC decisions to have an equal vote in elections.
